Terms of service
Overview
Welcome to Print Nature Studios. Print Nature Studios is the brand name under which the trustee or trustees of Operation 413 Trust, acting solely in their fiduciary capacity (collectively, the “Trustee”), operate this store. The terms “Print Nature Studios,” “we,” “us,” and “our” refer to the Trustee operating as Print Nature Studios.
We operate this store and website, including the related information, content, features, tools, products, and services that we provide to you (collectively, the “Services”). Our store is powered by Shopify, which enables us to provide the Services.
These Terms of Service, together with any policies referenced in them (collectively, the “Terms”), describe your rights and responsibilities when you access or use the Services.
Please read these Terms carefully. They contain important information about your legal rights, including warranty disclaimers and limitations of liability.
By visiting, interacting with, or using the Services, you agree to be bound by these Terms and our Privacy Policy. Purchases are also subject to our Return and Refund Policy and Shipping Policy, which are incorporated into these Terms by reference. If you do not agree to these Terms or our Privacy Policy, you should not access or use the Services.
Section 1: Access and Accounts
By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence. If you permit a minor dependent to use the Services through a device or account that you own or manage, you are responsible for that use.
To browse our store, create an account, or purchase products, you may be asked to provide information such as your email address and billing, payment, and shipping information. You represent that the information you provide is accurate, current, and complete and that you have the right to provide it.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account. You may not sell, transfer, assign, or license your account to another person.
Section 2: Our Products
We make reasonable efforts to describe and display our products accurately. However, colors and product appearance can vary due to screen settings, device type, lighting, print materials, natural material variation, and the production process. Minor color or appearance differences between an on-screen image and the finished product are not necessarily defects.
Product dimensions, materials, frame details, and other specifications are stated on the applicable product page. Please review those details carefully before ordering. If an item arrives damaged, defective, or materially different from what you ordered, our Return and Refund Policy explains how to report the problem and the remedies that may be available.
Product descriptions, prices, availability, and designs may be changed without notice. We may discontinue a product or limit the quantities available to a person, household, geographic region, or jurisdiction.
Section 3: Orders and Made-to-Order Products
When you place an order, you are making an offer to purchase. An automated order confirmation acknowledges that we received your order but does not guarantee acceptance. Before an order ships, we may accept, decline, limit, or cancel it for lawful reasons, including suspected fraud, unauthorized payment, an obvious pricing or listing error, product unavailability, a legal or shipping restriction, or suspected commercial resale. If we cancel an order after payment has been collected, we will refund the amount charged for the canceled item or order. We will not charge a higher price to correct an error without your express agreement.
Unless a product page states otherwise, our products are made specifically after an order is placed. Please review your product selection, size, format, frame option, personalization details, billing information, and shipping address before completing checkout.
Please contact us as soon as possible if you need to request a correction, change, or cancellation. We will gladly try to help, but changes and cancellations are not guaranteed. Once an order has entered production, it cannot be changed or canceled.
Where permitted by applicable law, all sales are final except as stated in our Return and Refund Policy. We do not accept routine returns or exchanges for buyer’s remorse, an accidental order, a preference change, or selection of the wrong size, format, color, frame, or other option.
“Made to order” means that an item is produced after an order is placed. That fact alone does not eliminate a cancellation, withdrawal, return, warranty, or other consumer right provided by applicable law. If the law applicable to your purchase gives you a nonwaivable right to cancel or withdraw from the purchase, that right applies as described in our Return and Refund Policy. A product made to your individual specifications or clearly personalized may be exempt from a statutory withdrawal right where applicable law provides that exception.
Unless we agree otherwise in writing, products are sold for personal use, gift-giving, or end use in a home or business, not for commercial resale. Purchasing a physical product does not transfer copyright in the artwork or grant any right to reproduce, distribute, license, or commercially exploit it.
Section 4: Prices, Promotions, and Billing
Prices, discounts, and promotions may change without notice. The price charged will be the price displayed at checkout when the order is placed, subject to correction of an obvious pricing or listing error. Prices are displayed in the currency shown at checkout.
Mandatory fees imposed by us are included in the advertised product price. Reasonable shipping charges, optional products or services, applicable taxes, government charges, customs duties, import taxes, brokerage charges, and similar amounts may be added where permitted by law. Amounts that we collect will be disclosed before you submit the order. Where applicable law requires tax-inclusive or other all-inclusive pricing, prices will be displayed accordingly.
For an international order, checkout or our Shipping Policy will indicate whether we collect duties and import taxes when that information is available. If those amounts are not collected at checkout, the destination country, customs authority, carrier, or other service provider may require you to pay them before or upon delivery. You are responsible for those amounts to the extent permitted by applicable law.
Promotions may be subject to separate eligibility requirements, expiration dates, minimum-purchase requirements, product exclusions, usage limits, and discount-combination rules. If promotional terms conflict with these Terms, the promotional terms control for that promotion.
You agree to provide accurate, current, and complete purchase, payment, and account information. You represent that you are authorized to use the payment method provided and authorize us and our payment processors to charge all amounts shown at checkout. You agree to update your account and payment information as needed so that we can complete transactions and contact you about your order.
Section 5: Shipping and Delivery
Our products may be produced and shipped by third-party production and fulfillment partners. Because products are made to order, production time and carrier transit time are separate parts of the estimated delivery timeframe.
Shipping methods, destinations, estimates, tracking, address issues, delayed packages, lost packages, and packages marked delivered are addressed in our Shipping Policy.
We will have a reasonable basis for any shipment timeframe we state. For an order subject to United States federal law, if we do not state a shipment timeframe, we will have a reasonable basis to expect shipment within 30 days. If we learn that we cannot ship within the stated timeframe, or within 30 days when no timeframe was stated, we will notify you within the applicable period, provide a revised shipment date when available, and offer the choice to consent to the delay or cancel for a full and prompt refund of the unshipped merchandise. If required consent is not obtained, or if we determine that we cannot ship the order, we will cancel the unshipped portion and issue the refund required by law. Customers in other jurisdictions receive any additional delay, cancellation, or refund rights required by applicable law.
Delivery dates are estimates unless we expressly state that a delivery date is guaranteed. We are not liable for carrier, weather, customs, or other delays outside our reasonable control, except to the extent applicable law provides otherwise. This does not limit our responsibility to provide legally required delay notices, cancellation options, refunds, or assistance with a lost or damaged shipment.
You are responsible for providing a complete and accurate shipping address. Please contact us immediately if you notice an error. We will try to help if production or shipment has not begun, but we cannot guarantee that an address can be changed after an order is submitted.
Risk of loss passes to you when the order is delivered to the shipping address you provided, except as otherwise required by applicable law. If an order is lost in transit, damaged during delivery, or marked delivered but cannot be located, please follow the procedures in our Shipping Policy and Return and Refund Policy so that we can review the situation and help determine the appropriate next step.
International orders may be produced in, fulfilled from, or routed through a country different from your own. We may restrict or decline shipment to a destination when required by law, carrier limitations, product restrictions, sanctions, or fulfillment availability. Any delivery restriction that applies to an available market will be disclosed no later than the beginning of the ordering process where required by law.
Section 6: Intellectual Property
Except for customer-submitted content and materials owned by third parties, the Services and their contents, including artwork, photographs, text, graphics, logos, videos, audio, product designs, page layouts, and the selection and arrangement of those materials, are owned by or licensed to Print Nature Studios and are protected by United States and international copyright, trademark, and other intellectual-property laws.
These Terms permit you to use the Services for personal, lawful, noncommercial browsing and shopping. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, scrape, license, sell, or commercially exploit any protected material from the Services without our prior written permission, except for temporary browser files created through ordinary website use.
Print Nature Studios’ name, logo, product names, designs, and slogans are trademarks or other protected identifiers of Print Nature Studios or its licensors. You may not use them without prior written permission. Shopify’s name, logo, product and service names, designs, and slogans are trademarks of Shopify. Other names, logos, product and service names, designs, and slogans appearing through the Services belong to their respective owners.
All rights not expressly granted in these Terms are reserved.
Section 7: Optional Tools
We may provide access to tools or features supplied by third parties. We do not necessarily monitor or control those tools.
To the fullest extent permitted by law, access to optional third-party tools is provided “as is” and “as available,” without warranties, representations, or endorsements by us. Your use of an optional third-party tool is at your own discretion and risk and may be subject to the third party’s separate terms and privacy practices.
We may add new features, tools, or resources to the Services. Unless separate terms are provided, those additions are part of the Services and are subject to these Terms.
Section 8: Third-Party Links and Services
The Services may contain links to, materials from, or functionality operated by third parties. We are not responsible for evaluating or guaranteeing the accuracy, availability, safety, or practices of third-party websites or services.
If you leave the Services to access a third-party website or service, you do so at your own discretion. Review the third party’s terms, policies, and practices before entering a transaction or providing personal information. Questions or complaints regarding a third party’s products or services should be directed to that third party.
Section 9: Relationship With Shopify
Print Nature Studios is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with the Trustee operating as Print Nature Studios. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Print Nature Studios, including any injury, damage, or loss resulting from purchased products and services. To the fullest extent permitted by law, you expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with Print Nature Studios.
Section 10: Privacy Policy
Personal information we collect through the Services is subject to our Privacy Policy. Certain personal information may also be processed under the Shopify Consumer Privacy Policy. By using the Services, you acknowledge that you have had an opportunity to review these privacy policies.
Because the Services are hosted by Shopify, Shopify processes information about your access to and use of the Services to provide and improve its services and to support our store. Information you submit may be transmitted to Shopify and to service providers or business partners, including providers located outside the country where you reside, as described in our Privacy Policy.
Section 11: Feedback, Reviews, and Submitted Content
If you submit, upload, post, email, or otherwise provide reviews, photographs, ideas, suggestions, feedback, proposals, or other content (collectively, “Feedback”), you retain any ownership rights you have in that Feedback. You grant Print Nature Studios a nonexclusive, perpetual, worldwide, transferable, sublicensable, royalty-free license to use, reproduce, modify, publish, translate, distribute, display, and create derivative works from the Feedback in any medium for purposes including operating, evaluating, improving, and promoting the Services.
You represent that you own or have the rights needed to provide the Feedback and grant this license, that you have disclosed any compensation or incentive connected with it, and that the Feedback complies with these Terms and applicable law.
We are not obligated to keep Feedback confidential, pay compensation for it, or respond to it. We may monitor, edit, decline to publish, or remove Feedback that we reasonably believe is unlawful, misleading, infringing, abusive, obscene, defamatory, contains malicious code, or otherwise violates these Terms.
You may not use a false identity or email address, impersonate another person, or mislead us or others about the origin of Feedback. You are responsible for the Feedback you submit and its accuracy.
Section 12: Errors, Inaccuracies, and Omissions
Information on or through the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, images, dimensions, pricing, promotions, shipping charges, transit times, or availability.
We may correct errors or update information on the Services. Before an affected order ships, we may cancel it because of an obvious error, inaccuracy, omission, or unavailability. If we cancel an order or item after collecting payment, we will refund the amount charged for the canceled order or item. If an error is discovered after shipment, we will not charge you a higher price without your express agreement, and we will honor any rights and remedies required by applicable law.
Section 13: Prohibited Uses
You may access and use the Services only for lawful purposes. You may not directly or indirectly use the Services:
- For an unlawful, fraudulent, deceptive, or malicious purpose.
- To violate any applicable international, federal, state, provincial, or local law or regulation.
- To infringe or violate our intellectual-property rights or the rights of another person.
- To harass, abuse, threaten, defame, intimidate, discriminate against, or harm another person.
- To transmit false or misleading information.
- To submit, upload, download, or reuse material that violates these Terms.
- To transmit unauthorized advertising or promotional material, including spam, junk mail, or chain letters.
- To impersonate another person or entity or misrepresent your affiliation with one.
- To interfere with another person’s use of the Services or engage in conduct that could harm Print Nature Studios, Shopify, our service providers, or users.
- To upload or transmit viruses, malware, or other code that could affect the operation or security of the Services.
- To reproduce, duplicate, copy, extract, sell, resell, or exploit any portion of the Services without authorization.
- To collect or track personal information about others without lawful authorization.
- To phish, pharm, pretext, scrape, crawl, or use automated data-gathering or extraction methods except as expressly permitted by us.
- To bypass security, authentication, rate limits, robot-exclusion measures, or other access controls.
We may suspend, restrict, or terminate access to the Services if we reasonably determine that these Terms have been violated.
Section 14: Automated Agents
This section applies if you use, permit, enable, or deploy an automated or semi-automated agent to access or interact with the Services. An “Agent” means software or a service that acts on behalf of, or at the instruction of, a person or entity without continuous direct supervision.
An Agent may access or interact with the Services only if it identifies itself and complies with this section and with any request from us to stop or limit access. We may use technical measures to control whether and how Agents interact with the Services.
An Agent must:
- Identify its automated nature and name in its user-agent string or through another technically appropriate method.
- Not conceal or misrepresent that its interactions are automated.
- Not mimic human behavior for the purpose of evading access controls.
- Not complete or circumvent CAPTCHAs or other measures intended to distinguish automated use from human use.
- Respond truthfully to prompts intended to determine whether an interaction is human or automated.
- Not circumvent measures intended to block, limit, modify, or control automated access.
Section 15: Termination
We may suspend or terminate your access to the Services if you violate these Terms or if suspension or termination is otherwise reasonably necessary to protect the Services, Print Nature Studios, Shopify, our service providers, or other users. You remain responsible for amounts properly due before termination.
If we cancel an accepted but unfulfilled order in connection with termination, we will refund amounts collected for the canceled items as required by these Terms and applicable law.
Sections that by their nature should survive termination will remain in effect, including sections concerning intellectual property, Feedback, disclaimers, limitations of liability, indemnification, governing law, and amounts owed.
Section 16: Disclaimer of Warranties
Information presented on or through the Services is provided for general informational purposes. We do not warrant that all website content will always be complete, current, or error-free. Any reliance on general informational content is at your own discretion and risk.
To the fullest extent permitted by law, the website, account features, and other non-product functionality of the Services are provided “as is” and “as available.” We do not guarantee that access to the Services will be uninterrupted, timely, secure, or error-free.
Products are subject to their written descriptions, our Return and Refund Policy, and any rights or warranties that apply under law. Nothing in these Terms excludes or limits a warranty, consumer right, or remedy that cannot lawfully be excluded or limited, including rights concerning products that arrive damaged, defective, or materially different from what was ordered.
Section 17: Limitation of Liability
To the fullest extent permitted by law, the Trustee, our employees, agents, contractors, licensors, and service providers, Shopify, and Shopify’s affiliates will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost savings, or loss of data, arising from or related to the Services or a product purchased through the Services, even if advised that such damages were possible.
To the fullest extent permitted by law, our total liability for a claim relating to a particular order will not exceed the amount you paid to us for the order giving rise to the claim.
These limitations do not exclude or limit liability that cannot lawfully be excluded or limited, including liability arising from fraud, willful misconduct, gross negligence, personal injury caused by negligence where applicable, or nonwaivable consumer-protection rights. They also do not limit a replacement, reprint, refund, cancellation, or other remedy expressly provided by our Return and Refund Policy or Shipping Policy. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
Section 18: Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless the Trustee, our employees, agents, contractors, licensors, and service providers, Shopify, and Shopify’s affiliates from third-party claims, losses, liabilities, damages, and reasonable legal fees arising from your unlawful use of the Services, your material breach of these Terms, your violation of another person’s rights, or Feedback that you submit.
We will provide reasonable notice of an indemnifiable claim. A delay in notice does not relieve you of your obligations except to the extent the delay materially prejudices your ability to respond. We may control the defense and settlement of the claim at our expense or, where permitted, at your expense. We will not agree to a settlement that imposes a nonmonetary obligation on you without your consent, which will not be unreasonably withheld. You agree to provide reasonable cooperation in the defense.
Section 19: Severability
If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law and the unenforceable portion will be severed. The remaining provisions will continue in full force and effect.
Section 20: Waiver and Entire Agreement
Our failure to exercise or enforce a right or provision of these Terms is not a waiver of that right or provision.
These Terms and the policies and operating rules incorporated by reference constitute the entire agreement between you and Print Nature Studios concerning the Services and supersede prior or contemporaneous communications and proposals concerning the Services, whether oral or written. This section does not exclude a representation, disclosure, right, or remedy that applicable law makes binding or nonwaivable.
Section 21: Assignment
You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. Any attempted assignment that violates this section is void. We may assign or transfer these Terms and our rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, change in control, a change of trustee, or operation of the Services, subject to applicable law and without reducing your nonwaivable rights.
Section 22: Governing Law
These Terms and any separate agreement through which we provide the Services are governed by the laws of the State of Minnesota and applicable United States federal law, without regard to conflict-of-law principles. If you are a consumer, this choice of law does not deprive you of a mandatory protection provided by the law of your state, province, territory, or country of habitual residence when that protection cannot lawfully be waived by agreement.
Subject to the preceding paragraph and to the extent permitted by law, you and Print Nature Studios consent to the jurisdiction of the state and federal courts located in Minnesota for disputes arising from or relating to the Services or these Terms. If applicable consumer law gives you the right to bring or defend a claim in another forum, this section does not restrict that right.
Section 23: Headings
Section headings are included for convenience only and do not limit or otherwise affect the meaning of these Terms.
Section 24: Changes to These Terms
You can review the current version of these Terms on this page. We may update these Terms by posting a revised version to the website. The “Last updated” date at the top will identify the most recent revision.
When required by applicable law, we will provide additional notice of a material change and state when it becomes effective. Your continued use of the Services after revised Terms take effect constitutes acceptance of the revised Terms to the extent permitted by law. Changes will not retroactively reduce rights relating to an order already placed unless applicable law permits it.
